The IAF Network's advisory work has included:
- Setting the scope of feasibility study/reports
- Negotiation of the concession agreement, including drafting
the enabling legislation
- Negotiation of the supply and power purchase agreement
- Drafting key financial and contract documentation
- Establishment of the true turnkey contract to
achieve the maximum project financing. Negotiation of the construction contract wording
- Advice on joint venture agreements (incorporated or
unincorporated), including the management and technical agreements ("O&M"
contracts)
- Advise/presentation to the board/government ministry
- Fine tuning of the Projects computer model with
regard to financing options
- Identification of suitable finance sources and development
of marketing/syndication/negotiation strategies.
- Establishment of the risk allocation methods and pricing
- Selection and scope setting for Independent Reviews:
technical, insurance, management, tax
- Develop the Projects completion
contractual architecture including the latest in
completion/overrun/turnkey techniques and incorporating delay-in-startup insurances.
- Drafting the Information Memorandum for various funding
sources: banks/multilateral agencies, government, equity investors/sponsors, bond issue
- Identification of the exit strategies and timing
- Workout tactics, financial
modelling, and negotiations
- Assistance with the companys executive and
professional staff in legal and financial closing. If warranted, complete management of
closing.
